1. CONTRACTUAL RELATIONSHIP

These Terms and Conditions ("Terms") govern your access to and use of the mobile applications, websites, software, content, products and services (collectively, the "Services") provided by Eveco Trip Private Limited (the "Company", "we", "us", or "our"), an Indian company operating under the laws of India, with its principal place of business in Delhi, India.

PLEASE READ THESE TERMS CAREFULLY BEFORE ACCESSING OR USING THE SERVICES.

By accessing or using the Services, you confirm that you have read, understood, and agree to be legally bound by these Terms. This acceptance creates a binding contractual relationship between you ("User", "Rider", or "you") and the Company. If you do not agree to these Terms, you must not access or use the Services.

These Terms replace and supersede any prior agreements, understandings, or arrangements between you and the Company relating to the Services.

The Company reserves the right, at its sole discretion, to suspend or terminate your access to the Services, or any part thereof, at any time and for any reason, including but not limited to violation of these Terms, suspected fraud, misuse of the platform, or legal or regulatory requirements.

Certain features or services may be subject to additional terms, policies, or guidelines ("Supplemental Terms"), which will be disclosed to you in connection with such services. Supplemental Terms form part of these Terms and shall prevail in case of conflict, but only with respect to the relevant service.

The Company may revise or update these Terms from time to time. Updated Terms will be made available through the Application or website. Your continued use of the Services after such updates constitutes your acceptance of the revised Terms.

Your personal information is collected and processed in accordance with applicable Indian laws and the Company's Privacy Policy. You acknowledge and agree that the Company may share necessary information (including contact details and ride data) with drivers, payment partners, insurers, claims processors, or governmental authorities where reasonably required to resolve complaints, disputes, accidents, or legal obligations.

The Services constitute a technology platform that enables Users to connect with independent third-party drivers or transport operators. Unless explicitly stated otherwise, the Company does not provide transportation services and does not act as a carrier.

2. THE SERVICES

2.1 Platform Description

The Services constitute a technology-enabled platform operated by the Company through its Rider mobile application and related digital interfaces (collectively, the "Application") that allows users ("Riders") to request, arrange, and schedule transportation services with Drivers.

Drivers available on the platform may include:

  • independent third-party drivers; and/or
  • drivers directly engaged or managed by the Company

The Company acts solely as a technology service provider facilitating connections between Riders and Drivers. Unless expressly stated otherwise in a separate written agreement, the Company does not itself provide transportation services and does not operate as a transportation carrier. All transportation services are performed by Drivers, whether independent or Company-associated. You acknowledge that each ride constitutes a direct service relationship between you and the Driver.

2.2 Scope of Services

Through the Application, Riders may access features including but not limited to:

  • booking on-demand or scheduled rides or pool drive
  • real-time driver matching
  • fare estimation and route tracking
  • live and background GPS location sharing
  • in-app communication with Drivers
  • multiple vehicle categories (such as bike, auto, car or similar offerings)
  • cash and digital payment options
  • in-app wallet and promotional credits
  • trip history and digital receipts
  • ratings and feedback systems
  • customer support tools
  • safety and emergency assistance features

Service availability may vary by location, demand, vehicle category, or operational constraints. The Company does not guarantee availability of Drivers at any time.

2.3 Pool / Shared Ride Feature (Non-Commercial Use)

The Platform may offer a ride-sharing or "Pool" feature that enables Riders to share a trip with one or more other Riders for the purpose of splitting travel costs.

You acknowledge and agree that:

  • Pool services are provided solely as a convenience feature to promote environmental sustainability, reduce traffic congestion, and control pollution
  • Pool services are strictly non-commercial in nature
  • the Company does not earn any commission, platform fee, or revenue from Pool rides
  • Riders participate in Pool services voluntarily and accept shared ride conditions including potential delays, route adjustments, or additional pickups
  • Pool services shall not be used for business, profit-making, resale, or organised transport purposes

The Company reserves the right to modify, suspend, or discontinue Pool services at any time. Participation in Pool rides is subject to availability, safety considerations, and Platform policies.

2.4 Restrictions on Use

You shall not:

  • copy, modify, distribute, sell, resell, lease, sublicense or commercially exploit any portion of the Services
  • reverse engineer, decompile or attempt to extract source code
  • remove proprietary notices or trademarks
  • scrape, crawl, or mine platform data
  • interfere with platform security or functionality
  • attempt unauthorized access
  • create derivative works
  • misuse promotional systems or pricing logic
  • use automated scripts or bots

Violation may result in immediate suspension or termination.

2.5 Driver Availability and Service Categories

The Services may be offered through different ride categories or service options based on vehicle type, pricing tier, or operational models. Such categories may include economy, premium, two-wheeler, or other transportation formats. Drivers may operate under different contractual arrangements with the Company or as independent service providers. The Company reserves the right to modify or discontinue any category at any time.

2.6 Third-Party Services and Integrations

The Application may integrate third-party services including:

  • mapping and navigation providers
  • payment gateways
  • SMS or communication providers
  • analytics systems
  • advertising platforms

The Company does not control such third parties and is not responsible for their services. Your use of such services may be governed by their separate terms and privacy policies. Google Play and device manufacturers are not parties to these Terms.

2.7 Ownership and Intellectual Property

All rights, title and interest in the Application, Services, software, trademarks, logos, content and platform architecture belong exclusively to the Company or its licensors. Nothing in these Terms grants you ownership or intellectual property rights. You shall not use Company branding without written permission.

2.8 No Guarantee of Continuous Service

The Services may be subject to interruption, delay, maintenance, or technical failures. The Company does not guarantee uninterrupted availability.

3. USER ACCOUNTS AND ACCESS

3.1 Account Registration

To access most features of the Services, you must create and maintain an active personal rider account ("Account"). To register, you may be required to provide certain personal information, including but not limited to:

  • full name
  • mobile phone number
  • email address (if applicable)
  • age confirmation
  • device identifiers
  • location permissions
  • preferred payment method (if using in-app payments)

Registration is completed through mobile number verification via OTP or any other authentication method determined by the Company. You must be at least 18 years of age to create an Account.

3.2 Accuracy of Information

You agree to provide accurate, current, and complete information at all times and to promptly update your Account if any details change. The Company reserves the right to suspend or terminate Accounts containing false, misleading, outdated, or incomplete information.

3.3 One Account Per User

Unless expressly permitted in writing by the Company:

  • you may maintain only one Rider Account
  • you may not share your Account with any other person
  • you may not allow third parties to use your Account

Any activity conducted through your Account shall be deemed to be performed by you.

3.4 Account Security

You are solely responsible for maintaining the confidentiality of your login credentials, OTPs, and device access. You agree to immediately notify the Company of any unauthorized use of your Account. The Company shall not be liable for losses arising from unauthorized access unless caused directly by the Company's negligence.

3.5 Responsibility for Account Activity

You are fully responsible for:

  • all ride requests
  • payments (cash or digital)
  • cancellations
  • communications
  • ratings
  • damages
  • violations

made through your Account. This applies even if the activity was performed by someone else using your device.

3.6 Identity Verification and KYC

The Company may, at any time, require identity verification or KYC documentation to:

  • prevent fraud
  • ensure safety
  • comply with legal requirements
  • resolve disputes

Failure to provide requested verification may result in restricted access or Account suspension.

3.7 Right to Refuse or Limit Access

The Company reserves the right to:

  • refuse registration
  • restrict access
  • suspend functionality
  • terminate Accounts

without liability, where reasonably necessary for:

  • legal compliance
  • safety concerns
  • fraud prevention
  • platform integrity
  • repeated misuse

3.8 Location Permissions

Use of the Services requires access to device location services. You acknowledge and consent to:

  • real-time location tracking during trips
  • background location access where enabled
  • collection of pickup, drop-off and route data

Disabling location permissions may prevent proper functioning of the Application.

3.9 Communications

By creating an Account, you consent to receive:

  • service-related SMS
  • app notifications
  • calls from Drivers
  • operational communications
  • support messages

You may opt out of promotional communications, but essential service messages cannot be disabled.

4. USE OF THE SERVICES

4.1 Lawful Use

You agree to use the Services only for lawful purposes and in compliance with all applicable laws, regulations, and local rules.

You shall not use the Services for:

  • transporting illegal or prohibited items
  • committing fraud or deception
  • harassing or threatening others
  • creating public disturbance
  • violating traffic or safety laws
  • any activity that may harm the Company, Drivers, or third parties

4.2 Personal, Non-Commercial Use

The Services are provided strictly for personal use. You shall not use the Rider Application for:

  • business transport
  • resale of rides
  • courier services
  • commercial fleet operations
  • third-party aggregations

5. PAYMENTS, CHARGES, WALLET AND CASH TRANSACTIONS

5.1 Charges for Services

You understand that using the Services may result in charges for transportation services provided by Drivers ("Charges").

Charges may include, without limitation:

  • base fare
  • distance and time-based fees
  • waiting charges
  • platform/service fees
  • applicable taxes including GST
  • tolls, parking or government levies (where applicable)
  • cancellation fees
  • cleaning or damage fees

Fare estimates shown prior to booking are indicative only and final Charges may vary based on actual trip duration, distance, traffic conditions, route changes, waiting time, or other operational factors.

5.2 Payment Methods

You may pay Charges using:

  • cash directly to the Driver; and/or
  • in-app digital payment methods including UPI, cards, wallets, or other supported gateways; and/or
  • in-app wallet balances or promotional credits

By selecting a payment method, you authorize the Company (acting as a limited payment facilitation agent for Drivers where applicable) to collect Charges on behalf of the Driver. Payment collected through the Application shall be treated as payment made directly to the Driver.

5.3 Wallet and Promotional Credits

The Company may offer in-app wallet facilities and promotional credits. Wallet balances and promo credits:

  • are non-transferable
  • have no cash value
  • may expire
  • may be withdrawn or adjusted in case of suspected misuse, fraud, or error
  • may be restricted to specific ride types or locations

The Company reserves the right to revoke promotional benefits at any time without liability.

5.4 Dynamic and Surge Pricing

You acknowledge that Charges may increase during periods of high demand, limited Driver availability, special events, or adverse conditions ("Dynamic Pricing"). You are responsible for Charges applicable at the time of booking, regardless of prior pricing.

5.5 Cancellation Fees

If you cancel a ride after Driver assignment, or if cancellation occurs due to Rider unavailability, incorrect pickup details, or repeated no-shows, a cancellation fee may be charged. Cancellation fees are intended to compensate Drivers for time and fuel.

5.6 Failed Payments and Outstanding Dues

If your selected digital payment method fails, you agree that:

  • alternative payment methods on your Account may be charged
  • wallet balances may be adjusted
  • future ride access may be restricted until dues are cleared

Outstanding balances must be settled before further use of Services.

5.7 Taxes

Charges may include applicable taxes such as GST in accordance with Indian law. Tax invoices or digital receipts may be made available through the Application or via email/SMS.

5.8 Refunds, Adjustments & Disputes

All payments made through the Platform are generally non-refundable once a trip has been completed. However, the Company may, at its sole discretion, issue full or partial refunds or fare adjustments in the following circumstances:

  • Trip cancellation initiated by the Company or Driver
  • Technical errors, duplicate charges, or incorrect fare calculations
  • Non-delivery or incomplete provision of Services
  • Verified complaints relating to safety, misconduct, or material service deficiencies
  • Failed or cancelled trips where no transportation was provided
  • Any other exceptional circumstances as determined by the Company

For partially completed trips, refunds (if applicable) shall be calculated proportionately based on distance travelled, time elapsed, or system records.

Refunds may be issued either to the original payment method or as in-app wallet credits, at the Company's discretion.

For Pool services, refunds (if applicable) shall apply only to the Rider's individual contribution and not to the total pooled fare.

All refund requests must be submitted through the Platform's customer support within a reasonable time from completion of the trip.

Cash payments, where applicable, are normally non-refundable unless supported by verifiable evidence.

The Company reserves the right to deny refund requests that are repetitive, abusive, fraudulent, or unsupported by Platform data.

Refund processing timelines may vary depending on the payment provider or banking institution.

The Company's decision regarding refunds shall be final and binding.

5.9 Damage and Cleaning Fees

You shall be responsible for costs arising from damage to vehicles or excessive cleaning caused during your ride beyond normal wear and tear ("Damage or Cleaning Fees"). Where a Driver submits a verified claim supported by evidence, the Company reserves the right to charge such amounts to your selected payment method or wallet. Such amounts are non-refundable.

5.10 Tips and Gratuities

Drivers may accept voluntary tips. Tips are optional and are not included in Charges unless explicitly selected by you. The Company does not mandate tipping.

5.11 Receipts and Trip Records

Digital receipts and trip summaries will be made available through the Application or via registered contact details. You are responsible for reviewing Charges promptly and reporting issues within a reasonable time.

5.12 Pricing Adjustments

The Company reserves the right to:

  • correct pricing errors
  • adjust Charges for system inaccuracies
  • recover undercharged amounts
  • refund overcharged amounts where applicable

6. DISCLAIMERS, LIMITATION OF LIABILITY AND INDEMNITY

6.1 Disclaimer of Warranties

The Services are provided on an "as is" and "as available" basis.

To the maximum extent permitted under applicable law, the Company disclaims all representations and warranties, whether express, implied or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

The Company does not guarantee:

  • uninterrupted or error-free operation of the Application
  • availability of Drivers at all times
  • quality, safety, legality or suitability of any ride
  • accuracy of GPS, maps, routes or estimated arrival times

You acknowledge that transportation services are provided by Drivers and not by the Company itself. Your use of the Services is entirely at your own risk.

6.2 Third-Party Driver Responsibility

Drivers may be independent third parties or Company-associated personnel. Regardless of classification, each Driver operates the vehicle and provides transportation directly to you. The Company does not assume responsibility for Driver conduct, driving behaviour, vehicle condition, or compliance with traffic laws. Any disputes, injuries, losses or damages arising from rides primarily lie between you and the Driver, except where required by law.

6.3 Limitation of Liability

To the maximum extent permitted by Indian law, the Company shall not be liable for:

  • indirect, incidental, special, consequential or punitive damages
  • loss of profits, data, goodwill or business
  • personal injury or property damage arising from rides
  • delays, cancellations or service failures
  • acts or omissions of Drivers or third parties
  • technical malfunctions or network issues

6.4 No Liability for Personal Belongings

The Company is not responsible for lost, stolen, or damaged personal items left in vehicles. Recovery assistance, if provided, is voluntary and not guaranteed.

6.5 Indemnity

You agree to indemnify, defend and hold harmless the Company, its directors, officers, employees, agents and affiliates from and against any claims, damages, losses, liabilities, costs and expenses (including reasonable legal fees) arising out of or related to:

  • your use or misuse of the Services
  • your violation of these Terms
  • your interactions with Drivers
  • damage caused by you to vehicles or property
  • your breach of any law or third-party rights
  • User Content submitted by you

7. TERMINATION, SUSPENSION AND ACCOUNT DEACTIVATION

7.1 Right to Suspend or Terminate

The Company reserves the right, at its sole discretion, to temporarily suspend or permanently terminate your Account, access to the Applications, or use of the Services at any time, with or without prior notice, if the Company reasonably believes that you have:

  • violated these Terms or any applicable law
  • engaged in fraudulent, abusive, unsafe, or unlawful conduct
  • misused promotional credits, wallet balances, or referral programs
  • provided false, misleading, or incomplete information
  • failed to make required payments or initiated unjustified chargebacks
  • harassed, threatened, abused, or harmed Drivers, Company staff, or other users
  • damaged property or vehicles
  • attempted to manipulate pricing, ratings, or system functionality
  • allowed unauthorized persons to use your Account
  • repeatedly cancelled rides after Driver assignment
  • interfered with the normal operation of the platform
  • created safety risks or public nuisance

7.2 Temporary Suspension

The Company may impose temporary restrictions on your Account while investigating suspected violations. During suspension:

  • ride booking may be disabled
  • wallet usage may be restricted
  • promotional benefits may be revoked
  • support access may be limited

Suspension does not waive the Company's right to permanent termination.

7.3 Permanent Termination

Upon termination:

  • your Account shall be permanently disabled
  • access to Services will cease
  • outstanding Charges remain payable
  • unused promotional credits expire automatically
  • wallet balances (if any) may be adjusted against dues, penalties, or damage costs
  • user content licenses granted to the Company shall survive

Termination does not release you from liabilities incurred prior to termination.

7.4 User-Initiated Deletion

You may request Account deletion by contacting support at: support@evecotrip.com

Deletion requests are subject to:

  • settlement of outstanding dues
  • completion of active trips
  • statutory data retention requirements
  • fraud prevention policies

Certain data may be retained as required by law.

7.5 Investigation Rights

The Company reserves the right to:

  • investigate complaints or reports
  • request supporting documents
  • review trip history and communications
  • cooperate with law enforcement
  • suspend Accounts during investigation

Failure to cooperate may result in termination.

7.6 Survival

The following provisions survive termination:

  • Payments and Charges
  • Limitation of Liability
  • Indemnity
  • Dispute Resolution
  • Governing Law
  • User Content Rights
  • Any accrued obligations

8. SAFETY, USER OBLIGATIONS AND PLATFORM RULES

8.1 General Conduct

You agree to behave respectfully, lawfully, and responsibly while using the Services. You shall not:

  • engage in abusive, violent, threatening, discriminatory, or harassing behavior
  • create disturbance, nuisance, or public inconvenience
  • damage or tamper with vehicles or property
  • provide false pickup or destination details
  • misuse emergency features
  • interfere with Driver operation of vehicles
  • attempt to intimidate Drivers or staff
  • engage in unlawful activity

The Company reserves the right to suspend or terminate Accounts for violations.

8.2 Age Requirement

You must be at least 18 years old to create an Account. Minors may only travel when accompanied by an adult Account holder. You accept full responsibility for minors accompanying you.

8.3 Prohibited Items

You agree NOT to transport:

  • illegal substances
  • weapons or explosives
  • hazardous or flammable materials
  • stolen goods
  • animals (unless explicitly permitted)
  • oversized or unsafe cargo

Drivers may refuse trips involving prohibited items.

8.4 Alcohol, Drugs and Intoxication

You must not:

  • consume alcohol or drugs inside vehicles
  • request rides while severely intoxicated
  • endanger Drivers or vehicles

Drivers may refuse service if safety is compromised.

8.5 Seat Belts and Vehicle Safety

You must:

  • wear seat belts where available
  • follow traffic safety instructions
  • avoid distracting Drivers
  • comply with vehicle capacity limits

Failure to comply is at your own risk.

8.6 Emergency Situations

In emergencies, contact local authorities immediately. The Company may share trip and location data with law enforcement where legally required.

8.7 Luggage Responsibility

You are responsible for:

  • personal belongings
  • loading/unloading luggage
  • damages caused by luggage

The Company is not responsible for lost items.

8.8 No Commercial Use

You shall not use the Rider App for:

  • reselling rides
  • business transport services
  • courier operations
  • any commercial exploitation

8.9 Platform Monitoring

The Company may monitor trips, communications, ratings, and activity for:

  • safety
  • quality
  • fraud prevention
  • legal compliance

9. USER CONTENT, RATINGS AND FEEDBACK

9.1 User Content

Users may submit ratings, reviews, feedback, comments, images or other content ("User Content"). By submitting User Content, you grant the Company a worldwide, royalty-free, perpetual, irrevocable licence to use, reproduce, modify, distribute and display such content for operational, marketing and improvement purposes.

You confirm that your User Content:

  • is truthful and lawful
  • does not infringe third-party rights
  • is not defamatory, abusive, obscene or misleading
  • does not contain malware or harmful material

The Company reserves the right to remove or moderate any User Content without notice.

9.2 Ratings System

Riders and Drivers may rate each other. The Company does not guarantee accuracy of ratings and is not responsible for opinions expressed. Repeated low ratings or misconduct may result in account restriction or termination.

10. DATA PRIVACY AND LOCATION TRACKING

10.1 Personal Data Collection

The Company collects personal data including:

  • name, phone number, email
  • government ID (if required)
  • device information
  • payment details
  • live and background location
  • ride history and communications

Processing is done in accordance with Indian data protection laws.

10.2 Location Services

By using the Application, you consent to real-time and background GPS tracking during rides and when the Application is active.

Location data is used for:

  • matching riders with drivers
  • navigation
  • safety monitoring
  • fraud prevention
  • regulatory compliance

Disabling location services may limit functionality.

10.3 Data Sharing

Your data may be shared with:

  • Drivers
  • payment processors
  • cloud service providers
  • government authorities when legally required

The Company does not sell personal data.

11. SAFETY DISCLAIMER

The Company is a technology platform only and does not provide transportation services. Drivers are independent third parties or contracted operators. The Company does not guarantee:

  • Driver conduct
  • vehicle condition
  • journey outcomes
  • punctuality

Users agree to exercise personal judgment and caution during rides. Emergency features provided are supplementary only.

12. NO EMPLOYMENT RELATIONSHIP

Nothing in these Terms creates employment, agency or partnership between Riders and the Company or between Riders and Drivers. Drivers operate independently or under separate contractual arrangements.

13. FORCE MAJEURE

The Company shall not be liable for failure or delay caused by events beyond reasonable control including:

  • natural disasters
  • strikes
  • pandemics
  • government orders
  • internet outages
  • technical failures

14. MODIFICATIONS TO SERVICES OR TERMS

The Company may update these Terms or modify Services at any time. Material changes will be notified through the Application. Continued usage constitutes acceptance.

15. GENERAL PROVISIONS

Assignment

You may not transfer your rights. The Company may assign its rights without restriction.

Severability

If any provision is held invalid, remaining provisions remain enforceable.

Entire Agreement

These Terms constitute the complete agreement between you and the Company regarding Rider Services.
