Driver Terms and Conditions

1. CONTRACTUAL RELATIONSHIP

These Driver Terms and Conditions ("Driver Terms") govern your access to and use of the driver mobile application, website, systems, content, products and services (collectively, the "Driver App" or "Services") made available by Eveco Trip Private Limited (the "Company", "we", "us", or "our"), a company incorporated under the laws of India, having its registered office in Delhi, India. These Driver Terms constitute a legally binding agreement between you ("Driver", "you", or "your") and the Company.

PLEASE READ THESE DRIVER TERMS CAREFULLY BEFORE ACCESSING OR USING THE DRIVER APP.

By registering as a driver, accessing, or using the Driver App, you acknowledge that you have read, understood, and agree to be bound by these Driver Terms, including any supplemental policies, guidelines, or standards referenced herein. If you do not agree to these Driver Terms, you may not access or use the Driver App or Services.

1.1 Scope of Services

The Company operates a technology platform that enables Drivers to connect with riders seeking transportation or related mobility services. The Company does not provide transportation services and does not operate as a transport carrier.

You acknowledge that:

  • the Company acts solely as a technology intermediary
  • transportation services are provided directly by you to riders
  • the Company is not responsible for the acts or omissions of riders or Drivers

1.2 Independent Contractor Relationship

You expressly acknowledge and agree that:

  • You are an independent contractor and not an employee, agent, joint venturer, or partner of the Company
  • Nothing in these Driver Terms creates an employment relationship
  • You have no authority to bind the Company
  • You are solely responsible for determining when, where, and for how long you use the Driver App

You further acknowledge that you are not entitled to employee benefits including but not limited to provident fund, gratuity, insurance, paid leave, or minimum wages.

1.3 Mixed Driver Model Acknowledgment

The Company operates a mixed-driver model, including both Company-affiliated drivers and independent drivers. Unless separately documented in writing, your participation under these Driver Terms shall be treated as that of an independent Driver. Any Company-owned vehicles or special arrangements shall be governed by separate written agreements.

1.4 Amendments

The Company reserves the right to modify these Driver Terms at any time. Updated Terms shall be effective upon posting in the Driver App or on the Company website. Your continued use of the Driver App after such updates constitutes acceptance of the revised Driver Terms.

1.5 Supplemental Policies

Additional policies including Driver Guidelines, Safety Policies, Vehicle Standards, Payment Policies, and Privacy Policy form an integral part of these Driver Terms. In case of conflict, these Driver Terms shall prevail unless explicitly stated otherwise.

1.6 Assignment

You may not assign or transfer these Driver Terms without prior written consent of the Company. The Company may freely assign these Driver Terms.

2. PLATFORM ROLE & TECHNOLOGY SERVICES

2.1 Nature of the Platform

The Driver App constitutes a technology-based platform that facilitates connections between Drivers and riders seeking transportation or related mobility services.

You expressly acknowledge and agree that:

  • the Company does not provide transportation services
  • the Company does not own or operate vehicles (except where separately disclosed under written agreements)
  • the Company does not employ Drivers
  • the Company does not control how transportation services are performed
  • all transportation services are provided directly by Drivers to riders

The Company's role is strictly limited to providing digital infrastructure, booking management, routing assistance, payment facilitation, location-based services, and related technical tools.

2.2 Matching, Dispatch & Algorithmic Systems

The Driver App uses automated systems, algorithms, and location-based logic to:

  • identify nearby ride requests
  • recommend trip opportunities
  • optimize pickup routing
  • calculate estimated fares and trip distances
  • support demand-based pricing adjustments
  • manage driver availability
  • detect potential fraud or abuse

You acknowledge that ride allocation is automated and not guaranteed. The Company makes no representation regarding minimum earnings, trip volume, or ride frequency. The Company reserves the right to modify platform logic at any time.

2.3 Trip Acceptance & Cancellation Policy

Once a Driver accepts a trip request, cancellation by the Driver is strictly prohibited except in severe and unavoidable circumstances. In such cases, cancellation may only be processed through the Company's customer support team, and not directly by the Driver within the Application. Severe circumstances may include vehicle breakdown, medical emergency, safety threat, or other critical situations as determined by the Company. All cancellations are subject to Company review and approval. Unauthorised or repeated cancellation attempts may result in penalties, suspension, or permanent deactivation.

2.4 Location Tracking & Background Services

You acknowledge and consent that the Driver App may collect, monitor, and process real-time and background location data while:

  • the Driver App is active
  • you are marked online
  • you are engaged in a trip
  • for safety, fraud prevention, and operational optimization

Location data may continue to be collected for a limited time after trip completion for compliance, dispute resolution, and safety purposes. Disabling location services may result in restricted functionality or suspension of access.

2.5 Communication Features

The Driver App may enable in-app calling or messaging between Drivers and riders. All such communications may be recorded or monitored for safety, quality assurance, legal compliance, and dispute resolution. You agree not to misuse communication tools.

2.6 Platform Availability

The Company does not guarantee uninterrupted access to the Driver App. Temporary outages may occur due to maintenance, upgrades, network failures, or force majeure. The Company bears no liability for downtime or service interruptions.

2.7 Promotions, Incentives & Campaigns

The Company may offer optional incentives, bonuses, or promotions. Such programs:

  • are discretionary
  • may vary by location and time
  • may be modified or withdrawn without notice
  • do not constitute guaranteed earnings

Eligibility is subject to performance, ratings, compliance, and other internal metrics.

2.8 Ratings & Feedback Systems

Riders may rate Drivers and submit feedback. The Company reserves the right to use ratings to:

  • maintain service quality
  • identify misconduct
  • determine incentive eligibility
  • impose access limitations

Ratings form part of platform integrity and are not subject to negotiation.

2.9 Data Use

Operational data including trip metrics, performance indicators, behavioral patterns, and safety signals may be analyzed by the Company to improve Services. Such data may be anonymized and aggregated.

2.10 No Exclusivity

You are free to use other platforms or engage in independent transportation services, provided such activity does not violate these Driver Terms or applicable laws.

3. DRIVER ELIGIBILITY, DOCUMENTATION & ONBOARDING

3.1 Minimum Eligibility Requirements

To access or use the Driver Application and provide transportation services through the Platform, you represent and warrant that you:

  • are at least eighteen (18) years of age
  • hold a valid and current driving licence issued by a competent authority in India for the applicable vehicle category
  • possess all permits, registrations, authorisations, and approvals required under applicable central, state, and local laws, including motor vehicle and transport regulations
  • are legally entitled to operate a commercial vehicle where required
  • are medically fit to drive and do not suffer from any condition that may impair safe operation of a vehicle
  • are not prohibited by law from providing transportation services
  • have not been convicted of any serious criminal offence involving violence, theft, fraud, sexual misconduct, narcotics, or similar offences
  • comply with all background verification requirements as may be mandated by the Company or government authorities

The Company reserves the right to reject, suspend, or terminate onboarding at its sole discretion if any eligibility requirement is not satisfied.

3.2 Documentation Requirements

You agree to provide accurate, complete, and up-to-date copies of all documents required by the Company, including but not limited to:

  • Aadhaar Card / PAN Card
  • Driving Licence
  • Vehicle Registration Certificate (RC)
  • Commercial Permit (if applicable)
  • Insurance Certificate
  • Pollution Under Control (PUC)
  • Bank Account Details
  • Profile Photograph
  • Any additional documents required by law or the Company

You authorise the Company to verify your documents directly or through third-party agencies. Submission of false, expired, altered, or misleading documentation constitutes a material breach of these Terms and may result in immediate deactivation.

3.3 Background Verification

The Company may conduct identity checks, police verification, and background screening either directly or through authorised third-party agencies. You expressly consent to such verification and acknowledge that continued access to the Platform is conditional upon satisfactory verification results. Failure or refusal to complete verification may lead to suspension or permanent removal from the Platform.

3.4 Vehicle Standards & Maintenance

You represent that any vehicle used on the Platform:

  • is roadworthy and maintained in safe operating condition
  • complies with all applicable motor vehicle laws
  • carries valid insurance coverage at all times
  • meets cleanliness and hygiene standards
  • is free from illegal modifications
  • matches the details submitted during onboarding

The Company may require periodic vehicle inspections. Non-compliance may result in service restrictions or deactivation.

3.5 Independent Contractor Relationship

You acknowledge and agree that you operate as an independent service provider and not as an employee, agent, or representative of the Company. Nothing in these Terms creates any partnership, joint venture, employment, or agency relationship. You retain sole control over how you provide services, subject to Platform policies, safety standards, and applicable law. You are solely responsible for your taxes, insurance, statutory contributions, and regulatory compliance.

3.6 Account Approval & Access

Completion of onboarding does not guarantee activation. The Company reserves the right to approve, delay, suspend, or deny access to the Driver Application at its sole discretion. Access may be withdrawn at any time for compliance, safety, operational, or legal reasons.

4. DRIVER OBLIGATIONS & CODE OF CONDUCT

4.1 Professional Conduct

You agree to provide services in a professional, respectful, and lawful manner at all times. Without limitation, you shall:

  • behave courteously and respectfully toward Riders and third parties
  • follow all traffic laws, safety regulations, and applicable transport rules
  • operate the vehicle carefully and responsibly
  • maintain appropriate personal hygiene and professional appearance
  • refrain from using abusive, threatening, discriminatory, or inappropriate language or behaviour
  • avoid any form of harassment, intimidation, coercion, or misconduct

Any violation may result in immediate suspension or permanent deactivation.

4.2 Trip Acceptance & Cancellation Policy

Once a trip request is accepted, you are expected to complete the ride unless a genuine and unavoidable reason exists, including but not limited to:

  • vehicle breakdown
  • medical emergency
  • rider misconduct or safety concern
  • government restriction or road closure
  • technical failure of the Application

Drivers are not permitted to cancel trips for personal convenience, fare preference, destination dislike, or incentive manipulation. Repeated or unjustified cancellations may result in penalties, temporary suspension, reduced visibility on the Platform, or permanent deactivation.

4.3 Prohibited Conduct

You shall not:

  • demand additional fares outside the Platform unless expressly permitted
  • refuse service based on destination, payment mode, gender, religion, caste, or appearance
  • operate under the influence of alcohol, drugs, or intoxicating substances
  • solicit Riders for off-platform rides
  • misuse Rider personal data
  • carry illegal goods or prohibited items
  • tamper with GPS or manipulate trip data
  • share accounts or allow third parties to operate under your profile
  • threaten, harm, or endanger Riders
  • engage in fraudulent activity

Any such acts may lead to immediate termination and legal action.

4.4 Safety Responsibilities

You agree to:

  • wear seatbelt and ensure Rider seatbelt usage where applicable
  • follow speed limits
  • avoid mobile phone use while driving except for navigation
  • stop services if fatigued or unwell
  • immediately report accidents or incidents via the Platform

The Company may temporarily suspend access pending investigation of safety concerns.

4.5 Ratings, Feedback & Quality Monitoring

Riders may rate Drivers after each trip. The Company reserves the right to monitor performance metrics including ratings, cancellations, complaints, acceptance rates, and service quality. Consistently low ratings or repeated complaints may result in warnings, training requirements, suspension, or deactivation.

4.6 No Employment Relationship

The Platform may onboard two categories of Drivers:

(A) Company-Managed Drivers

Certain Drivers operate under direct engagement with the Company ("Company Drivers"). Such Drivers acknowledge and agree that:

  • their working hours, availability, shift schedules, and service regions may be determined or controlled by the Company
  • they are not permitted to provide ride services through any platforms or any other medium
  • use of other platforms, if permitted, must strictly comply with these Terms and any additional Company policies
  • failure to adhere to Company schedules or exclusivity requirements may result in disciplinary action, suspension, or termination

Company Drivers may be subject to operational supervision, performance standards, and internal policies as communicated by the Company from time to time.

(B) Independent Drivers

Drivers who are not designated as Company Drivers ("Independent Drivers") operate as independent service providers and:

  • control their own working hours
  • may use other platforms freely
  • are not subject to Company shift scheduling
  • are responsible for their own operational decisions

subject to Platform policies and applicable law.

Nothing in these Terms shall be construed to create an employment relationship for Independent Drivers. Company Drivers, where applicable, shall be governed by separate engagement terms, internal policies, or agreements in addition to these Terms.

4.7 Cooperation With Investigations

You agree to cooperate fully with any safety, compliance, or legal investigation conducted by the Company or authorities. Failure to cooperate may result in immediate deactivation.

5. PAYMENTS, EARNINGS, COMMISSIONS & DEDUCTIONS

5.1 Fare Structure

Fares displayed on the Driver Application are estimates generated by the Platform based on distance, time, demand, location, service type, tolls, taxes, and other applicable factors. Final fares may vary due to route changes, waiting time, rider modifications, toll charges, or technical adjustments. The Company reserves the right to modify fare calculations at any time.

5.2 Driver Earnings

You are entitled to receive a portion of the trip fare after deduction of:

  • Platform service fees
  • Commission charges
  • Applicable GST or other statutory taxes
  • Promotional adjustments
  • Penalties or recovery amounts
  • Wallet balances
  • Damage or cleaning fees

The Company does not guarantee any minimum earnings, ride volume, or income.

5.3 Commission & Platform Fees

You agree that the Company may charge a commission or service fee wherever applicable, on completed trip. The commission rate may vary by city, service type, or promotion and may be updated from time to time. Continued use of the Platform constitutes acceptance of revised rates.

5.4 Payment Modes

Trips may be paid by Riders through:

  • in-app digital payments
  • wallet balance
  • promotional credits
  • cash (where enabled)

For cash trips, you act as a collection agent on behalf of the Company and agree to remit the Company's commission portion as instructed. Failure to remit cash dues may result in account suspension, and can be pursued for legal action.

5.5 Settlements & Payouts

Driver earnings will be settled to your registered bank account or wallet on a periodic basis as determined by the Company. Settlement timelines are indicative and may vary due to banking delays, compliance checks, or operational reasons. The Company is not responsible for delays caused by third-party payment processors or banks.

5.6 Adjustments, Reversals & Corrections

The Company reserves the right to adjust earnings for:

  • rider complaints
  • fraud detection
  • duplicate payments
  • incorrect fare calculation
  • cancelled or disputed trips
  • system errors

Such adjustments may be deducted from future payouts.

5.7 Taxes

You are solely responsible for:

  • income tax
  • GST (if applicable)
  • statutory filings
  • regulatory compliance

The Company may deduct tax at source as required by law.

5.8 Damage, Cleaning & Recovery Charges

If a Rider reports damage, excessive dirt, or misconduct and the claim is verified, the Company may facilitate recovery from the Rider or deduct amounts from Driver earnings where appropriate. Conversely, if a Driver causes loss to the Company, recovery may be deducted from Driver balances.

5.9 No Guaranteed Income

You acknowledge that earnings depend on market demand, rider availability, location, acceptance rates, and external factors. The Company does not promise any fixed or minimum income.

6. INSURANCE, ACCIDENTS & LIABILITY ALLOCATION

6.1 Driver Insurance Obligations

You agree to maintain, at your own cost and expense, valid and continuous insurance coverage as required under applicable Indian laws, including but not limited to:

  • motor vehicle third-party insurance
  • comprehensive vehicle insurance (where applicable)
  • personal accident insurance
  • any commercial transport insurance mandated by local authorities

Insurance policies must remain active at all times while providing services through the Platform. Failure to maintain valid insurance may result in immediate suspension or permanent deactivation.

6.2 Accident Reporting

You must immediately report any accident, injury, vehicle damage, or safety incident occurring during or in connection with a trip through the Driver Application or to Company support.

You agree to:

  • cooperate fully with investigations
  • provide truthful statements
  • submit photos, documents, FIR copies, or insurance details when requested

Failure to report incidents may result in account termination.

6.3 Liability Disclaimer

You acknowledge and agree that:

  • the Company does not provide transportation services
  • the Company is solely a technology intermediary
  • all transportation services are provided independently by Drivers
  • the Company is not responsible for acts or omissions of Drivers or Riders

6.4 Driver Responsibility

You remain fully responsible for:

  • vehicle operation
  • passenger safety
  • legal compliance
  • insurance claims
  • damages caused by negligence

The Company shall not be liable for losses arising from Driver conduct.

6.5 Limitation of Company Liability

To the fullest extent permitted by law, the Company's total cumulative liability arising from or relating to these Terms shall not exceed the total platform fees earned from the Driver during the preceding three (3) months. Indirect, incidental, punitive, or consequential damages are excluded.

6.6 Indemnification

You agree to indemnify and hold harmless the Company, its directors, officers, employees, and agents from any claims, losses, damages, liabilities, penalties, or legal expenses arising from:

  • accidents or injuries
  • your driving services
  • breach of these Terms
  • violation of law
  • third-party claims

7. ACCOUNT SUSPENSION, TERMINATION & ENFORCEMENT

7.1 Suspension or Deactivation Rights

The Company reserves the right, at its sole discretion, to temporarily suspend or permanently deactivate your Driver Account, with or without prior notice, for reasons including but not limited to:

  • violation of these Terms or Platform policies
  • submission of false or misleading information
  • expired or invalid documentation
  • unsafe driving behaviour
  • excessive cancellations or poor service quality
  • rider complaints or safety concerns
  • suspected fraud, manipulation, or misuse of the Platform
  • failure to remit cash collections
  • regulatory or legal requirements
  • failure to cooperate with investigations

7.2 Immediate Termination

Immediate permanent deactivation may occur for serious misconduct including:

  • physical assault or harassment
  • intoxicated driving
  • criminal activity
  • data misuse
  • threats or abuse
  • GPS manipulation
  • account sharing

7.3 Temporary Restrictions

The Company may impose temporary limitations including:

  • ride acceptance blocks
  • payout holds
  • reduced visibility
  • mandatory retraining

Such actions do not require formal notice.

7.4 Effect of Termination

Upon termination:

  • access to the Driver Application shall cease immediately
  • outstanding balances may be adjusted
  • pending payouts may be withheld pending investigation
  • you must stop representing yourself as affiliated with the Company

7.5 No Obligation to Provide Reason

Where permitted by law, the Company is not obligated to disclose detailed reasons for deactivation, especially where fraud, safety, or legal risk is involved.

7.6 Survival

Sections relating to payments, indemnity, liability, dispute resolution, and confidentiality shall survive termination.

8. DATA USAGE, PRIVACY & LOCATION TRACKING

8.1 Collection of Personal Data

You acknowledge and agree that the Company may collect, store, process, and use personal information including but not limited to:

  • name, phone number, email address
  • government-issued identification documents
  • driving licence and vehicle details
  • bank account information
  • profile photographs
  • trip history
  • ratings and feedback
  • device identifiers
  • IP address
  • real-time and background location data

Such data is collected for onboarding, identity verification, service delivery, safety monitoring, fraud prevention, compliance, customer support, and platform improvement.

8.2 Location Tracking

The Driver Application collects location data while the app is running in foreground and background, including during active trips and while awaiting ride requests.

Location data is used for:

  • trip matching
  • navigation
  • safety monitoring
  • fare calculation
  • fraud detection
  • regulatory compliance

Disabling location access may restrict or prevent Platform usage.

8.3 Data Sharing

The Company may share Driver data with:

  • Riders for trip facilitation
  • payment partners
  • government authorities when legally required
  • insurance providers
  • fraud detection vendors
  • customer support partners

Data sharing occurs strictly for operational, legal, or safety purposes.

8.4 Consent

By using the Platform, you expressly consent to data collection, processing, storage, and transfer in accordance with applicable Indian laws. You also consent to receiving service-related calls, emails, and SMS notifications.

8.5 Data Retention

Personal data will be retained only as long as required for:

  • service delivery
  • regulatory compliance
  • dispute resolution
  • fraud prevention

8.6 Security Measures

The Company uses reasonable administrative, technical, and physical safeguards to protect personal information. However, no system is fully secure, and the Company does not guarantee absolute data security.

8.7 Driver Responsibilities

You agree not to misuse Rider data or Platform information. Unauthorised sharing, recording, or exploitation of Rider data is strictly prohibited and may result in immediate termination and legal action.

9. INTELLECTUAL PROPERTY, PLATFORM RIGHTS & USAGE RESTRICTIONS

9.1 Ownership of Platform

The Driver Application, Rider Application, websites, software, algorithms, databases, user interfaces, designs, trademarks, logos, content, and all related intellectual property rights are and shall remain the exclusive property of the Company or its licensors. Nothing in these Terms grants you any ownership interest in the Platform.

9.2 Limited License to Drivers

Subject to compliance with these Terms, the Company grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Driver Application solely for providing services through the Platform. This license does not permit:

  • sublicensing
  • resale
  • modification
  • reverse engineering
  • commercial exploitation outside permitted use

9.3 Usage Restrictions

You shall not:

  • copy, reproduce, modify, distribute, or create derivative works from the Platform
  • decompile, reverse engineer, or disassemble the software
  • scrape, mine, or extract data
  • interfere with Platform functionality
  • bypass security features
  • use bots, scripts, or automated tools
  • impersonate the Company
  • misuse trademarks or branding

9.4 Feedback & Suggestions

Any feedback, ideas, or suggestions you provide may be used by the Company without restriction or compensation.

9.5 Monitoring & Enforcement

The Company reserves the right to monitor Platform usage and take action against violations including suspension, termination, or legal proceedings.

10. CONFIDENTIALITY & NON-CIRCUMVENTION

10.1 Confidential Information

You agree to keep confidential any non-public information relating to the Company, Platform operations, pricing models, Rider data, business processes, or technical systems ("Confidential Information"). Confidential Information shall not be disclosed, shared, or used for any purpose outside these Terms.

10.2 Non-Circumvention

You shall not attempt to bypass the Platform by soliciting Riders for off-platform services or establishing independent arrangements with Riders introduced through the Platform. Violation may result in immediate termination and legal action.

11. DISPUTE RESOLUTION & ARBITRATION

All disputes shall first be resolved through mutual discussion. If unresolved, disputes shall be referred to mediation under Indian law.

If mediation fails within sixty (60) days, disputes shall be finally resolved by arbitration under the Arbitration and Conciliation Act, 1996.

  • Language: English

Proceedings shall remain confidential.

12. GOVERNING LAW

These Terms shall be governed by and construed in accordance with the laws of India. Courts at Delhi shall have exclusive jurisdiction for interim relief.

13. FORCE MAJEURE

The Company shall not be liable for failure or delay caused by events beyond reasonable control including natural disasters, strikes, internet outages, government actions, pandemics, or technical failures.

14. GENERAL PROVISIONS

14.1 Amendments

The Company may modify these Terms at any time. Continued use after updates constitutes acceptance.

14.2 Assignment

You may not assign your rights without Company consent. The Company may assign freely.

14.3 Severability

If any provision is held invalid, remaining provisions shall remain effective.

14.4 Entire Agreement

These Terms constitute the entire agreement between you and the Company and supersede prior arrangements.

14.5 Waiver

Failure to enforce any provision shall not constitute waiver.

14.6 Survival

Sections relating to payments, liability, indemnity, confidentiality, dispute resolution, and intellectual property survive termination.
